General Terms of Service
This English version is provided for convenience. The Romanian version at /ro/informatii-legale/termeni-prestare-servicii/ is the binding text.
1. Who we are and what these Terms apply to
1.1. Amazing Soft SRL (“Amazing Soft”) is a Romanian company with its registered office in Bucharest, Sector 6, Str. Sg. Alexandru Cutieru nr. 25B, room 1, block 2, entrance 2, 11th floor, apartment 278, postcode 061422, registered with the Registrul Comerțului (Trade Register) under no. J2016000150403, VAT no. RO35387202. Contact: office@amazingsoft.ro.
1.2. These terms (the “Terms”) apply to any quote or order and to any contract or maintenance subscription under which Amazing Soft provides services to a Client and which refers to them. They form part of the contract without being signed separately.
1.3. Amazing Soft provides services exclusively to professionals: companies, sole traders, institutions and organisations acting in the course of their business. By accepting a quote, the Client confirms that it is not contracting as a consumer.
1.4. Amazing Soft’s own products (for example Listero, Plugstera, Tasao, undepierzi) have their own websites, terms and invoicing. These Terms do not apply to them.
1.5. Order of precedence. If the documents conflict, the following prevail, in this order: (a) the contract signed by both parties; (b) the accepted Quote, with its annexes; (c) these Terms; (d) for the processing of personal data, the Data Processing Agreement at /legal/data-processing-agreement/ prevails over all the others, within the limits of its subject matter, except where the parties have signed an individual data processing agreement.
2. Definitions
- Client – the professional who accepts a Quote or signs a contract with Amazing Soft.
- Quote – Amazing Soft’s written proposal (usually a PDF document sent by e-mail) describing the services, deliverables, schedule, price and payment terms.
- Contract – the agreement between the parties, made up of the documents listed in Article 1.5.
- Services – the activities Amazing Soft performs for the Client: software development, mobile applications, websites and online shops, automation and AI integration, design, branding, maintenance and support, consultancy.
- Deliverables – the results created for the Client under the Contract: code, applications, design, graphic materials, documentation, configurations.
- Pre-existing Materials – everything Amazing Soft owned or created independently of the Contract: libraries, components, templates, tools, methods, know-how, as well as their improved versions.
- Client Materials – content, data, trade marks, images, text, access credentials and anything else the Client makes available for the project.
- Business Day – any day from Monday to Friday, except public holidays in Romania.
- Maintenance Subscription – the recurring service, invoiced monthly, described in Article 9.
3. How the Contract is formed
3.1. The first conversation is a free 30-minute consultation. It creates no obligations for either party.
3.2. Amazing Soft sends a written Quote. The Quote is valid for 30 days from its date, unless it states otherwise. Information on the amazingsoft.ro website does not constitute a binding offer.
3.3. The Contract is formed when the Client accepts the Quote without changes: by a confirmation e-mail, by signing the Quote or by paying the advance. Acceptance by e-mail has the same effect as a signature.
3.4. If the acceptance comes with changes, it is a counter-offer. The Contract is formed only when Amazing Soft confirms it in writing.
3.5. For larger projects, the parties sign a dedicated contract, numbered and negotiated individually, usually signed electronically and exchanged by e-mail. It supplements these Terms and prevails over them. Addenda to existing contracts follow the same rule.
3.6. Subsequent orders (interventions, extensions, additional hours) are placed by written work order, by e-mail, by accepting an estimate. They fall under the existing Contract and these Terms.
4. Scope of the Services
4.1. Amazing Soft provides the Services described in the Quote, with the diligence of a professional in the field. The description in the Quote defines what is included. What is not written is not included.
4.2. Amazing Soft organises its own work, chooses its methods and tools and may propose solutions different from those requested, if they serve the Client’s purpose better. Changes of solution that affect the price or the schedule are approved in accordance with Article 7.
4.3. The schedule in the Quote is a work plan. Deadlines become firm only if the Quote or the Contract declares them so. The schedule starts on acceptance of the Quote, payment of the advance, if the Quote provides for one, and receipt of the required access and materials. Delays on the Client’s side push back the subsequent stages by at least the same duration.
4.4. Third-party services (hosting, domains, licences, developer accounts, APIs, AI services) are not part of the Services. Amazing Soft may recommend and configure them, but the contract for them is concluded between the Client and the third party, in the Client’s name and at the Client’s expense, unless the Quote provides otherwise.
4.5. Domains, hosting accounts, developer accounts, third-party licences and subscriptions are registered in the Client’s name, and the Client remains their holder. Amazing Soft receives delegated administrative access. If, at the Client’s request, Amazing Soft contracts or pays for them in its own name, it re-invoices them to the Client and transfers them to the Client on request or on termination of the Contract, after payment of the amounts due for them.
5. The Client's obligations
5.1. The Client appoints a contact person with decision-making authority, who answers questions and validates the stages.
5.2. The Client provides the Client Materials, access (accounts, servers, platforms, app stores) and the necessary information in good time. Access is granted through dedicated accounts, with rights limited to what is necessary.
5.3. The Client responds to requests for feedback and validation within 5 Business Days, unless otherwise agreed. Failure to respond is dealt with under Article 6.4.
5.4. The Client warrants that it holds the necessary rights in the Client Materials and that their use in the project does not infringe the rights of any third party. The Client grants Amazing Soft a non-exclusive, royalty-free licence, limited to the duration and purpose of the Contract, to use them in providing the Services.
5.5. The Client is responsible for the content published in the deliverables, for the lawfulness of its business and for compliance with the laws that apply to it (commerce, consumer protection, tax, personal data, its regulated sector).
5.6. The Client keeps copies of its data and materials. Amazing Soft is not the Client’s backup service, unless the Maintenance Subscription expressly includes this.
5.7. Access credentials. Each party keeps the access credentials received from the other (accounts, passwords, keys, tokens) secure, uses them only for the Contract and does not pass them on to third parties without consent. Amazing Soft stores them securely, with access restricted to the persons working on the project, and deletes them on termination of the Contract. The Client is responsible for administering its own accounts, for enabling two-factor authentication where available and for revoking access on termination. Amazing Soft is not liable for access by third parties obtained with access credentials that the Client has not protected or has not revoked.
6. Delivery and acceptance
6.1. Amazing Soft works in stages. Along the way, the Client sees and tests intermediate versions, in a test environment or through partial deliveries, in accordance with the schedule in the Quote.
6.2. At the end of each stage or on final delivery, Amazing Soft notifies the Client in writing that the deliverable is ready for acceptance.
6.3. The Client has 10 Business Days from the notification to test and to communicate its objections in writing: what does not match the Quote or the specification, with steps to reproduce. Amazing Soft remedies justified non-conformities and resubmits the deliverable; the verification period for corrections is 5 Business Days.
6.4. The deliverable is deemed accepted, without any further document: (a) when the Client accepts it in writing; (b) when the Client uses it in its business or publishes it; (c) when 10 Business Days pass from the notification without written objections. This rule is expressly agreed by the parties within the meaning of Article 1196 of the Romanian Civil Code.
6.5. The following are not non-conformities and do not suspend acceptance: requests for new features or for changes from the Quote, aesthetic preferences that do not contradict the specification or the approved design, problems caused by third-party services or by the Client Materials.
6.6. Acceptance of a stage closes that stage. Changes requested to it afterwards are dealt with under Article 7.
7. Changes of scope
7.1. Any request that falls outside the description in the Quote is a change of scope: new features, design changes after approval, additional integrations, new platforms, changes of requirements.
7.2. Amazing Soft estimates in writing the effect on the price and the schedule. Work on the change begins after the Client accepts the estimate, by e-mail. Without acceptance, the project continues on the original scope.
7.3. Small requests that Amazing Soft considers reasonable may be carried out at no cost. This tolerance does not create a right and does not amend the Quote.
8. Prices, invoicing and payment
8.1. The prices are those in the Quote. They do not include VAT, third-party services or expenses approved in writing by the Client (for example travel, licences purchased in the Client’s name).
8.2. Prices may be fixed, per stage or based on time worked (hour or day). For time-based work, Amazing Soft keeps a record of hours and makes it available on request.
8.3. Invoicing follows the Quote. The usual structure is: an advance on acceptance of the Quote, where the Quote provides for one, instalments on acceptance of the stages and the balance on final acceptance. Maintenance Subscriptions are invoiced monthly, in advance; additional hours are invoiced monthly, on the basis of timesheets. Invoices are issued electronically and sent by e-mail; where required by law, through the national RO e-Factura system.
8.4. The payment term is 7 calendar days from the invoice date, unless the Quote or the Contract provides a different term. Payment is made by bank transfer to the account stated on the invoice. Amazing Soft does not accept card payments on the website.
8.5. Invoices are issued in Romanian lei (RON) for Clients in Romania and in euro (EUR), US dollars (USD) or pounds sterling (GBP) for Clients in other countries, as stated in the Quote. Bank and currency exchange charges are borne by the Client. VAT applies in accordance with tax legislation; for Clients outside Romania, the place-of-supply rules for services apply. The prices are net amounts for Amazing Soft: if the law of the Client’s country imposes a withholding tax, the Client pays a grossed-up amount so that Amazing Soft receives the price in the Quote, and Amazing Soft provides the certificate of tax residence and the documents required to apply the double taxation convention.
8.6. In the event of late payment, the unpaid amount accrues, from the due date until actual payment, the statutory penalty interest for transactions between professionals, determined under Law no. 72/2013 and Government Ordinance no. 13/2011, without any further notice. As at the date of this version, its level is the National Bank of Romania reference interest rate plus 8 percentage points per year; for payments stipulated in a foreign currency, in relationships with a foreign element, the level is that provided for in Article 4 of Government Ordinance no. 13/2011 (6% per year). Amazing Soft may also claim the minimum sum of EUR 40 for recovery costs, provided for in Article 10 of Law no. 72/2013. A signed contract may set a different level of penalties.
8.7. If an invoice remains unpaid 10 days after the due date, Amazing Soft may, after written notice, suspend the Services, access to the test environments and deliveries until payment is made. The schedule is extended by the duration of the suspension. The Client expressly accepts this right of suspension.
8.8. Disputes regarding an invoice are communicated in writing within 5 Business Days of receipt, with reasons. The undisputed part is paid when due.
8.9. The advance covers the reservation of the schedule and the initial work. If the Client withdraws from the project after accepting the Quote, the advance is not refunded; it is deducted from the amounts due under Article 15.3. The advance is refunded only if Amazing Soft fails to start the work through its own fault.
9. Maintenance and support
9.1. Maintenance services are provided either under a Maintenance Subscription or as on-demand interventions, estimated and invoiced separately.
9.2. The Maintenance Subscription includes what the Quote provides. As a rule: security and version updates (platform, plugins, libraries, mobile operating systems), monitoring, minor fixes and a number of monthly hours for routine requests. The included hours are divisible and do not carry over from one month to the next. Requests are sent as written work orders, by e-mail. Hours beyond those included are invoiced at the hourly rate in the Quote, on the basis of timesheets, after the Client’s approval.
9.3. Working hours are Monday to Friday, 10:00 to 18:00, Romanian time, except public holidays. Support is provided by e-mail or WhatsApp, during these hours. Amazing Soft does not provide on-call cover or 24/7 support, unless a signed contract expressly provides otherwise.
9.4. Response time. Amazing Soft acknowledges receipt of the request and gives an initial response within two Business Days at most. Critical incidents (the main service is not working for the Client’s users) are handled with priority over other requests, during working hours. Amazing Soft does not guarantee a resolution time; it depends on the nature of the problem, on access to the systems and on the third-party providers involved.
9.5. The following are not included in the Subscription and are estimated separately: changes of scope and new features; recovery after cyber-attacks, infections or intrusions not caused by Amazing Soft; problems generated by hosting, domains, third-party services or by the interventions of other providers or of the Client; migrations; major updates that require rewriting (for example a change of major platform version); additional training.
9.6. Amazing Soft may ask the Client to approve updates that carry risk. If the Client refuses a recommended security update, Amazing Soft is not liable for the consequences.
9.7. Taking over an application or website developed by someone else begins with an audit. Amazing Soft is not liable for defects existing before the takeover and does not warrant third-party code; remedying them is estimated separately.
10. Intellectual property
10.1. Pre-existing Materials remain the property of Amazing Soft or its licensors. Nothing in the Contract transfers them to the Client.
10.2. On payment of the price in full, the economic copyright in the Deliverables created specifically for the Client under the Contract (the “Specific Deliverables”) passes to the Client, for the whole term of protection, worldwide, for all modes of use known at the date of the Contract, with the right to use, modify, adapt and exploit them in its business. The remuneration for this assignment is included in the price of the Contract. The Quote or the Contract may provide otherwise: a licence instead of an assignment, a broader assignment (for example for development on the Client’s platform) or additional conditions.
10.3. To the extent that the Deliverables incorporate Pre-existing Materials, the Client receives a non-exclusive, perpetual, royalty-free licence over them, limited to the use of the Deliverables. Amazing Soft remains free to use them in other projects.
10.4. The source code is handed over to the Client if, and in the form in which, the Quote so provides, after payment in full. The handover does not include Amazing Soft’s development tools, infrastructure and accounts.
10.5. Until payment in full, all rights in the Deliverables remain with Amazing Soft, and the Client may use them only for testing and validation.
10.6. The Deliverables may include open-source or third-party licensed components (libraries, themes, plugins, fonts, stock images, AI models). They remain under their own licences, which the Client undertakes to comply with. Amazing Soft chooses components with licences compatible with commercial use and informs the Client of licences that impose special obligations.
10.7. Moral rights remain with the authors, in accordance with Law no. 8/1996 on copyright and related rights. Amazing Soft will not exercise them in a way that prevents the Client from using the Deliverables.
10.8. Portfolio. Amazing Soft may mention the Client’s name and logo and may present the work publicly (description, screenshots, results that are not confidential), including on amazingsoft.ro and in presentation materials. The Client may refuse or limit this mention in writing, at any time; work under an NDA is presented only in anonymised form or not at all. Amazing Soft may include a discreet “built by Amazing Soft” credit in the footer of websites and in the “about” section of applications, unless the Client requests otherwise.
10.9. Ideas, processes, methods and know-how that Amazing Soft develops during the project may be reused in other projects, without disclosing the Client’s confidential information.
11. Confidentiality
11.1. Each party treats as confidential the information received from the other party in connection with the Contract that is not public: business, technical, financial and commercial information, code, data, access credentials, prices and the content of the Quote.
11.2. Each party uses confidential information only for the Contract, protects it with the care it applies to its own information and discloses it only to employees, contractors and subcontractors who need it and are bound by equivalent obligations.
11.3. Information is not confidential if it is public, already known to the receiving party, lawfully received from a third party or independently developed. Disclosure required by law or by an authority is permitted, with notice to the other party where the law allows it.
11.4. The obligation lasts for the duration of the Contract and for 3 years after its termination; for trade secrets, for as long as they remain secret.
11.5. This clause takes the place of a confidentiality agreement. At the request of either party, a separate NDA may be signed before or after acceptance of the Quote; in the event of conflict, the separate NDA prevails.
12. Data protection
12.1. Each party complies with Regulation (EU) 2016/679 (GDPR) and the applicable Romanian legislation.
12.2. Where Amazing Soft processes personal data on behalf of the Client (for example data from the Client’s applications, online shops or systems, during maintenance or development), the Data Processing Agreement at /legal/data-processing-agreement/ applies. By accepting the Quote, the Client accepts this Agreement by reference, without a separate signature. The list of sub-processors and the technical and organisational measures are published on the pages the Agreement refers to.
12.3. The way Amazing Soft processes the personal data of the Client’s contact persons, as a controller, is described in the Privacy Policy at /legal/privacy-policy/.
12.4. The Client is responsible for the legal basis of the data it entrusts to Amazing Soft and for the instructions it gives.
13. Warranties
13.1. Amazing Soft warrants that the Services are provided with professional skill and care and that the Deliverables conform, in their essential elements, to the description in the Quote.
13.2. Conformity warranty. For 30 days from final acceptance, Amazing Soft corrects at no cost reproducible defects that cause the Deliverables not to conform to the specification. The Client reports them in writing, with steps to reproduce. The warranty does not cover: changes made by the Client or by third parties, use in conditions other than those agreed, problems caused by third-party services, external updates (operating systems, platforms, APIs) released after delivery, or the absence of recommended maintenance.
13.3. No warranty of business results. Amazing Soft does not guarantee sales, traffic, search engine rankings, app store approval, conversions, savings or other commercial results. They depend on factors outside Amazing Soft’s control.
13.4. AI. Deliverables that use artificial intelligence models (agents, automations, content generation, classification, data extraction) produce probabilistic results. They may be inaccurate, incomplete, biased or different from one run to the next. Amazing Soft builds the system with reasonable checks, but the Client is responsible for the decisions taken on the basis of the results, for verifying them before using them in situations with legal, financial or medical effects or effects on individuals, and for compliance with Regulation (EU) 2024/1689 on artificial intelligence in its capacity as deployer. The providers of the AI models are third parties, with their own terms.
13.5. Online shops and websites. The legal obligations of the trader (consumer information, right of withdrawal, prices, guarantees, invoicing, ANPC – the National Authority for Consumer Protection, cookies, privacy policies, taxes) remain the Client’s. Amazing Soft implements technically what the Client requests and may point out obvious requirements, but does not provide legal or tax advice.
13.6. Mobile applications. Publication on the App Store and Google Play depends on the rules and decisions of Apple and Google. Amazing Soft prepares the application in accordance with the known requirements and assists with publication, but is not liable for rejections, delays or policy changes by these platforms.
13.7. Except as set out above, Amazing Soft gives no other warranties, express or implied, including that the software will operate without any error or interruption.
14. Liability
14.1. Amazing Soft’s total liability to the Client, on any ground related to a Contract, is limited to the fees actually received by Amazing Soft from the Client under that Contract in the 12 months preceding the event giving rise to the loss. For Maintenance Subscriptions, the cap in no case exceeds the value of 12 monthly subscription instalments.
14.2. Amazing Soft is not liable for indirect losses: loss of profit, revenue, customers, data (where the Client has not kept copies in accordance with Article 5.6), opportunities or reputation, business interruption or the cost of replacement services.
14.3. The limitations above do not apply where the law does not allow limitation: loss caused intentionally or through gross negligence (Article 1355 of the Romanian Civil Code), personal injury, intentional breach of confidentiality.
14.4. Amazing Soft is not liable for: the Client Materials; the Client’s decisions; third-party services (hosting, payments, APIs, AI models, app stores); changes made by the Client or by other providers; use of the Deliverables contrary to instructions.
14.5. The Client indemnifies Amazing Soft against third-party claims arising from the Client Materials, from content published by the Client or from the use of the Deliverables in its business in breach of the law.
14.6. Any claim by the Client against Amazing Soft is communicated in writing within 12 months at most from the date on which the Client knew or ought to have known of the loss. This is a contractual time bar (termen de decădere) agreed by the parties under Article 2545 of the Romanian Civil Code; once it expires, the claim can no longer be raised. The statutory limitation period is not modified.
15. Term and termination
15.1. Project Contracts last until final acceptance and payment in full. Maintenance Subscriptions are concluded for the term stated in the Quote; without a term, they run for an indefinite period.
15.2. Either party may terminate a Maintenance Subscription, without cause, on 30 days’ written notice, with effect from the end of the following billing month. Amounts paid in advance for the current month are not refunded.
15.3. The Client may stop a project before completion, by written notice. In that case it pays for the accepted stages, for the work performed up to the notice (based on hours worked or on the percentage of the current stage completed) and for committed costs that cannot be cancelled. The advance is deducted from these amounts; if it exceeds them, the difference is retained by Amazing Soft, in accordance with Article 8.9.
15.4. Either party may terminate the Contract, by written notice, if the other party breaches a material obligation and fails to remedy it within 15 days of a written demand. Amazing Soft may also terminate if the Client fails to pay within 30 days of the due date or becomes insolvent. Amazing Soft may suspend the Services immediately, with written notice, if the Deliverables or the access credentials are used for unlawful activities or if continuing them endangers the security of the systems of Amazing Soft, of the Client or of third parties; the suspension ends when the cause ceases.
15.5. Effects of termination. After payment for everything that has been delivered, Amazing Soft hands over to the Client the accepted Deliverables and the access to the accounts created for the Client, in their state at the date of termination. Amazing Soft withdraws its access to the Client’s systems, and the Client revokes the access granted. Personal data is deleted or returned in accordance with the Data Processing Agreement. At the Client’s written request, made within 30 days of termination at most, Amazing Soft exports the Client’s other data held in the systems it administers, in a common format, and hands over the existing access documentation; after this period it may delete them. An export that goes beyond a simple operation is estimated and invoiced as under Article 15.6. Confidentiality, intellectual property, liability, non-solicitation, notices, governing law and dispute resolution survive termination.
15.6. On request, Amazing Soft may assist with the transition to another provider. The assistance is estimated and invoiced separately.
16. Force majeure
16.1. Neither party is liable for non-performance caused by force majeure, within the meaning of Article 1351 of the Romanian Civil Code: external, unforeseeable, absolutely invincible and unavoidable events. The following are treated as such, if they meet these conditions: natural disasters, epidemics, war, acts of public authorities, major outages of communications networks or infrastructure, large-scale cyber-attacks.
16.2. The affected party notifies the other party within 5 Business Days and does what it can to limit the effects. Deadlines are extended by the duration of the event. If force majeure lasts more than 60 days, either party may terminate the Contract, with settlement of what has been delivered.
16.3. Lack of funds is not force majeure.
17. Subcontracting and assignment
17.1. Amazing Soft may use contractors and subcontractors (including companies) for parts of the Services. Amazing Soft is liable for them as for itself, engages them under a confidentiality agreement, imposes equivalent data protection obligations on them and obtains from them the rights necessary to fulfil its obligations under Article 10. Data sub-processors are published in accordance with the Data Processing Agreement.
17.2. Neither party may assign the Contract without the written consent of the other, except for assignment to a successor in the event of a reorganisation or sale of the business, with notice.
18. Non-solicitation
18.1. During the Contract and for 12 months after its termination, the Client will not employ or contract directly, without Amazing Soft’s written consent, the persons who worked for the Client under the Contract as employees or contractors of Amazing Soft.
18.2. In the event of breach, the Client pays Amazing Soft compensation equal to 6 months’ gross remuneration of the person concerned, to cover recruitment and training costs. This obligation does not apply to responses to public job advertisements.
19. Changes to the Terms
19.1. Amazing Soft may update these Terms. The date of the last update is published on this page.
19.2. A new version applies to Quotes accepted after its publication. Contracts in progress, including Maintenance Subscriptions, remain under the version accepted when they were concluded, unless otherwise agreed.
20. Governing law and disputes
20.1. The Contract is governed by Romanian law.
20.2. The parties first attempt an amicable resolution. The aggrieved party sends a written notice describing the problem and the remedy sought. The parties negotiate in good faith for 30 days from receipt of the notice; either party may propose mediation, in accordance with Law no. 192/2006 on mediation.
20.3. If no solution is reached within 30 days, the dispute is settled by the competent courts of Bucharest, Romania. The Client expressly accepts this jurisdiction.
20.4. Nothing in this clause prevents a party from seeking urgent measures to protect intellectual property rights or confidential information.
21. Final provisions
21.1. Language. These Terms are drawn up in Romanian. The English version is provided for information; in the event of any discrepancy, the Romanian version prevails.
21.2. Notices. Contractual communications are made in writing, by e-mail, to the addresses used for the Quote (for Amazing Soft: office@amazingsoft.ro). An e-mail is deemed received on the first Business Day after it is sent, unless there is a delivery error. WhatsApp messages serve for day-to-day communication, not for notices with contractual effect.
21.3. Entire agreement. The documents in Article 1.5 form the entire agreement between the parties and supersede prior discussions and understandings on the same subject matter.
21.4. Severability. If a clause is void or unenforceable, the others remain in force, and the clause is replaced by a valid one as close as possible to its purpose.
21.5. Waiver. Failure to exercise a right does not amount to a waiver of it.
21.6. Clauses expressly accepted. By accepting the Quote, the Client confirms that it has read these Terms and that it expressly accepts, within the meaning of Article 1203 of the Romanian Civil Code (unusual clauses), the clauses on: deemed acceptance (Article 6.4), suspension of the Services for non-payment or for security risk (Articles 8.7 and 15.4), the non-refundable advance (Articles 8.9 and 15.3), retention of the Deliverables and of transfers until payment in full (Articles 4.5, 10.5 and 15.5), limitation of warranties (Article 13), limitation of liability (Article 14), the time bar for claims (Article 14.6), termination and its effects (Article 15), non-solicitation (Article 18), changes to the Terms (Article 19), governing law and the jurisdiction of the courts of Bucharest (Article 20) and language (Article 21.1).
